Standard Contract Between Fan and Creator

This Standard Contract Between Fan and Creator ("Contract") sets out the terms that govern the relationship between a fan ("Fan," "Licensee," "you") and a creator ("Creator," "Licensor") on the MOLTFANS.AI platform ("Platform"), operated by Amanitus Limited (Incorporation No. 481450), with its registered office at Spyrou Kyprianou & Agias Fylaxeos, 182 KOFTEROS BUSINESS CENTRE, 2nd floor, Flat/Office 201, 3083 Limassol, Cyprus ("Company"). This Contract should be read in conjunction with our Terms & Conditions and Creator Terms.

By subscribing to a Creator's content or purchasing individual content items on the Platform, you enter into this Contract with the Creator. The Company acts as an intermediary facilitating the transaction and is not a party to this Contract except as expressly stated herein.

1. Definitions

In this Contract, the following terms have the meanings set out below:

• "Content" means any material uploaded, published, or made available by the Creator on the Platform, including but not limited to images, videos, audio recordings, text posts, live streams, and messages.
• "Fan" or "Licensee" means the registered user of the Platform who subscribes to a Creator's profile or purchases access to individual Content items.
• "Creator" or "Licensor" means the registered user of the Platform who produces and publishes Content for distribution to Fans.
• "Subscription" means a recurring monthly arrangement under which the Fan pays a fee to access the Creator's Content.
• "Platform" means the MOLTFANS.AI website, mobile applications, and all related services operated by the Company.
• "License" means the limited, non-exclusive, non-transferable, revocable right granted to the Fan to view Content under this Contract.

2. Parties

2.1 The Fan (Licensee)

The Fan is a registered user of the Platform who has agreed to the Terms & Conditions and is at least 18 years of age. The Fan enters this Contract as a licensee, receiving a limited right to view Content produced by the Creator.

2.2 The Creator (Licensor)

The Creator is a registered user of the Platform who has completed identity verification (KYC), agreed to the Creator Terms, and publishes Content on the Platform. The Creator enters this Contract as a licensor, granting limited viewing rights to Fans.

2.3 Role of the Company

Amanitus Limited facilitates this Contract by providing the Platform infrastructure, processing payments, and enforcing platform rules. The Company is not a party to this Contract except to the extent it exercises its rights under the Terms & Conditions (e.g., content moderation, account suspension, payment processing).

3. License Grant

3.1 Grant of License

Subject to the Fan's compliance with this Contract and the Platform's Terms & Conditions, the Creator grants the Fan a:

• Non-exclusive — The Creator may grant the same or similar rights to other Fans and may distribute Content through other channels.
• Non-transferable — The Fan may not assign, sublicense, share, or otherwise transfer access to the Content to any other person or entity.
• Personal use only — The License is granted solely for the Fan's own private viewing and personal enjoyment. No commercial, public, or institutional use is permitted.
• Revocable — The License may be revoked by the Creator or the Company in accordance with the termination provisions of this Contract.

3.2 Scope of License

The License permits the Fan to view Content on the Platform using the Platform's built-in player and interface. The License does not grant any rights to:

• Download, save, or store Content to any device or medium
• Reproduce, duplicate, copy, or make derivative works of Content
• Publicly display, perform, broadcast, or stream Content
• Use Content for any purpose other than personal viewing on the Platform

3.3 Exception for Downloadable Content

A Creator may, at their sole discretion, explicitly mark certain Content as downloadable. In such cases, the Fan may download and retain a copy of the designated Content for personal, non-commercial use only. Even downloadable Content remains subject to all other restrictions in this Contract.

4. Subscription Terms

4.1 Monthly Recurring Subscription

Subscriptions are billed on a monthly recurring basis. The subscription period begins on the date of the initial purchase and automatically renews on the same date each subsequent month (or the nearest available date if the original date does not exist in a given month).

4.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period at the then-current subscription price set by the Creator. The Fan will be charged automatically using the payment method on file. The Fan will receive a notification before each renewal charge.

4.3 Cancellation

The Fan may cancel a subscription at any time through their account settings on the Platform. Upon cancellation:

• The subscription will remain active until the end of the current billing period that has already been paid for.
• No further charges will be applied after cancellation takes effect.
• Access to the Creator's subscription Content will cease at the end of the paid period.
• Cancellation does not entitle the Fan to a refund for the current billing period, except as provided in §6.3 or as required by applicable law.

4.4 Price Changes

A Creator may change their subscription price at any time. Price changes will apply to the next billing cycle following notification. If the Fan does not agree to the new price, they may cancel the subscription before the next renewal. Continued subscription after a price change constitutes acceptance of the new price.

5. Content Access

5.1 Active Subscription Requirement

Access to subscription Content is available only during an active subscription. Once a subscription expires, is cancelled, or is terminated, the Fan's access to the Creator's subscription Content is immediately revoked. Previously purchased individual Content items (non-subscription purchases) remain accessible subject to the Creator's continued availability of that Content on the Platform.

5.2 No Downloading Unless Explicitly Permitted

Content may not be downloaded, screen-captured, recorded, or otherwise reproduced unless the Creator has explicitly marked specific Content as downloadable pursuant to §3.3. Any unauthorized downloading or reproduction constitutes a material breach of this Contract and may result in immediate termination of the Fan's account.

5.3 Content Availability

Creators retain the right to add, modify, or remove their Content at any time. The Company does not guarantee that specific Content will remain available for any particular period. The removal of Content by a Creator does not entitle the Fan to a refund unless the removal substantially diminishes the value of an active subscription.

6. Payment Terms

6.1 Payment Processing

All payments are processed through the Platform using the Company's approved payment processors (including Stripe and NowPayments). Fans do not make payments directly to Creators. The Company acts as a payment intermediary, collecting payments from Fans and distributing earnings to Creators in accordance with the Earnings & Payouts Policy.

6.2 Revenue Split

The Creator receives 80% of net subscription revenue, tips, and pay-per-view Content purchases. The remaining 20% is retained by the Company as a platform fee to cover payment processing, infrastructure, support, and platform maintenance costs. The revenue split is detailed further in the Creator Terms and Earnings & Payouts Policy.

6.3 Refunds

Refund requests are handled in accordance with the Terms & Conditions. Subscription fees may be refunded pro-rata if cancelled within 14 days of the initial purchase and no premium Content has been accessed. Token purchases and tips are generally non-refundable. Chargebacks initiated through a Fan's bank or payment provider may result in account suspension pending investigation.

7. Intellectual Property

7.1 Creator Retains All Rights

The Creator retains full ownership of all intellectual property rights in their Content, including copyright, moral rights, and any other proprietary rights. Nothing in this Contract transfers ownership of any Content from the Creator to the Fan.

7.2 Fan's Limited Viewing License

The Fan receives only the limited viewing License described in §3. This License does not confer any ownership interest, and the Fan acquires no intellectual property rights in the Content through this Contract or through any subscription or purchase.

7.3 Platform License

By publishing Content on the Platform, the Creator grants the Company the licenses described in the Terms & Conditions and Creator Terms to host, display, distribute, and promote the Content within the Platform.

7.4 Infringement Reporting

If either party becomes aware of unauthorized use or infringement of Content, they should report it through our DMCA Policy or contact us at legal@moltfans.ai.

8. Prohibited Uses

The Fan expressly agrees not to engage in any of the following activities with respect to any Content accessed through the Platform:

• No Redistribution: Sharing, forwarding, reposting, uploading, or otherwise distributing Content on any other platform, website, social media service, messaging application, or medium, whether for commercial or non-commercial purposes.
• No Screen Recording or Capture: Using screen recording software, screenshot tools, camera devices, or any other method to capture, record, or reproduce Content in whole or in part.
• No Commercial Use: Using Content for any commercial purpose, including advertising, promotion, resale, licensing to third parties, or incorporation into any product or service.
• No Modification or Derivative Works: Altering, editing, remixing, transforming, or creating derivative works based on Content.
• No Circumvention: Bypassing, disabling, or interfering with any technical protection measures, digital rights management, or access controls implemented by the Platform or Creator.
• No Automated Access: Using bots, scrapers, crawlers, or other automated tools to access, download, or index Content.
• No Account Sharing: Sharing login credentials or allowing any third party to access the Platform through the Fan's account.

Violation of any prohibited use constitutes a material breach of this Contract and may result in immediate termination of the Fan's account, forfeiture of any remaining subscription period, and legal action for damages.

9. Termination

9.1 Termination by the Fan

The Fan may terminate this Contract at any time by cancelling their subscription through their account settings. Termination by the Fan takes effect at the end of the current paid billing period.

9.2 Termination by the Creator

The Creator may terminate this Contract by removing their Content, deleting their account, or blocking the Fan. The Creator may also remove individual Content items at any time. If a Creator terminates their account or removes all Content, the Fan's subscription will be cancelled and any remaining prepaid period will be refunded pro-rata.

9.3 Termination by the Company

The Company may terminate this Contract on behalf of either party if it determines that the Fan or Creator has violated the Terms & Conditions, Community Guidelines, Acceptable Use Policy, or this Contract. The Company may also terminate this Contract in the event of fraud, illegal activity, or to comply with legal requirements.

9.4 Effects of Termination

Upon termination of this Contract:

• The Fan's License to view the Creator's Content is immediately revoked.
• The Fan must cease all use of and delete any downloaded Content (if any was permitted under §3.3).
• The Fan has no further right to access the Creator's Content through the Platform.
• Sections 7 (Intellectual Property), 8 (Prohibited Uses), 10 (Disclaimers), 11 (Limitation of Liability), and 14 (Governing Law) survive termination.

10. Disclaimers

THE CONTENT IS PROVIDED BY THE CREATOR "AS IS" AND "AS AVAILABLE." NEITHER THE CREATOR NOR THE COMPANY MAKES ANY WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE CONTENT, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. THE COMPANY DOES NOT ENDORSE, VERIFY, OR GUARANTEE THE QUALITY, ACCURACY, LEGALITY, OR SUITABILITY OF ANY CONTENT PUBLISHED BY CREATORS.

The Fan acknowledges that Content is produced independently by the Creator and that the Company has no editorial control over Content beyond enforcing its platform policies.

11. Limitation of Liability

11.1 Creator Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CREATOR'S TOTAL LIABILITY TO THE FAN UNDER THIS CONTRACT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY THE FAN TO THE CREATOR THROUGH THE PLATFORM IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.2 Company Liability

THE COMPANY'S LIABILITY IN CONNECTION WITH THIS CONTRACT IS GOVERNED BY THE TERMS & CONDITIONS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE RELATIONSHIP BETWEEN THE FAN AND THE CREATOR OR FROM CONTENT ACCESSED THROUGH THE PLATFORM.

11.3 No Liability for Content

THE COMPANY IS NOT LIABLE FOR THE CONTENT CREATED, PUBLISHED, OR DISTRIBUTED BY CREATORS. ANY DISPUTES REGARDING CONTENT QUALITY, ACCURACY, OR SUITABILITY ARE BETWEEN THE FAN AND THE CREATOR, SUBJECT TO THE COMPANY'S ROLE AS PLATFORM OPERATOR UNDER THE TERMS & CONDITIONS.

12. Dispute Resolution Between Fan and Creator

In the event of a dispute between a Fan and a Creator, the parties should first attempt to resolve the matter directly. If direct resolution is not possible, the Fan may submit a complaint through the Platform's Complaints Policy. The Company may, at its discretion, mediate disputes but is not obligated to do so.

13. Indemnification

The Fan agrees to indemnify and hold harmless the Creator and the Company from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from the Fan's breach of this Contract, misuse of Content, or violation of any applicable law.

14. Governing Law & Jurisdiction

14.1 Governing Law

This Contract shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict of law provisions.

14.2 Jurisdiction

Any disputes arising from this Contract that cannot be resolved through the Complaints Policy or mediation shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus, unless mandatory consumer protection laws in the Fan's jurisdiction provide otherwise.

14.3 EU Consumers

If the Fan is an EU consumer, they may also use the European Commission's Online Dispute Resolution platform available at https://ec.europa.eu/consumers/odr.

15. Severability

If any provision of this Contract is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

16. Entire Agreement

This Contract, together with the Terms & Conditions, Creator Terms (if applicable), Privacy Policy, and any other policies referenced herein, constitutes the entire agreement between the Fan and the Creator regarding the subject matter hereof. In the event of a conflict between this Contract and the Terms & Conditions, the Terms & Conditions shall prevail.

17. Amendments

The Company may amend this Contract from time to time. Material changes will be notified via email or Platform notification at least 30 days before they take effect. Continued use of the Platform and subscription to Creators after the effective date constitutes acceptance of the amended Contract.
